Terms & Conditions
To prevent being overwhelmed by lower-tier projects, institutional firms turn their Terms and Conditions into strict gatekeeping mechanisms:
Explicit Material Non-Public Information (MNPI) Restrictions: Their terms emphasize intense enforcement of insider trading laws. Anyone engaging with the site or portal is legally bound to not share or trade on non-public information.
Unsolicited Submission Rejection: Their inbound frameworks explicitly protect them from intellectual property lawsuits. They clearly state: If you send an unsolicited pitch or proposal, the firm has no obligation to keep it confidential, return it, or compensate you, even if they later back a completely identical project.
No Fiduciary Duty Created: Simply viewing the platform, clicking a link, or using a basic contact portal explicitly does not create an advisor-client relationship, a partnership, or a fiduciary responsibility.
